ProSoftwarePack - TERMS OF SERVICE
ProSoftwarePack (PSP) is a marketing division of Tips Marketing Services Corp. (TMSC). Distributors are entities who purchase multiple software packages TMSC/PSP and either resell at 100% profit or give the package away at no cost as an incentive to purchase the Distributors product/service.
By registering with TMSC/PSP, you understand and acknowledge this agreement and the following terms and conditions of use: Those Members or Distrutors, either paying for the service directly from TMSC/PSP, or paying or receiving for free the service from a distributor of TMSC/PSP, release and hold harmless TMCS/PSP as well as all its distributors directors, employees, agents,distributors, affiliates, vendors, and anyone affiliated with TMSC/PSP and its distributors from any and against any and all liability for any injury, loss, or damage of any kind arising from participation in this search. By participating in this service, you may periodically receive announcements from TMSC/PSP. TMSC/PSP shall not be responsible for, and shall have no liability to, any person with respect to any advertising materials displayed or deciminated by any third parties, such as distributors,or members, appearing on their websites or on any other site.You expressly understand and agree that:
1. Your use of the service is at your sole risk. The service is provided on an "as is" and "as available" basis. You agree that the software is only stable on operating systems of Windows 98 or better. Those with Windows 95' may find that some programs will not be stable. You understand that TMSC/PSP will under no circumstance reimburse you for any costs. You understand that TMSC/PSP does not offer ongoing support for the software. TMSC/PSP expressly disclaims all warranties of any kind, whether expressed or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
2. TMSC/PSP and its Distributors make no warranty that
(i) the service will meet your requirements
(ii) the service will be uninterrupted, timely, secure, or error-free
(iii) the results that may be obtained from the use of the service will be accurate or reliable
(iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations
(v) any errors in the software will be corrected.
3. Any material downloaded or otherwise obtained through the use of the service is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.
4. No advice or information, whether oral or written, obtained by you from TMSC/PSP or through or from the its distributors or affiliates shall create any warranty not expressly stated in the terms of service.
Purchasing Scripts: Purchasing Scripts as opposed to purchasing desktop software programs requires installation of these scripts. We offer the contacts of programmers, some the original authors of the script, to install and configure the script on your server. However TMSC/PSP accept no liability for this referral is a problem arisises with the programer.
Number of Software Installations:
Members will receive an authorization access code that allows access to the download of the full version 1 time per access code. The software can be installed on three separate computers, therefore you should eiter download to a CD ROM or if you download to your hard drive you will need to upload and move to the 2nd and 3rd computers. You are allowed to share the cost with other parties and give away the 2nd and 3rd unlock of each software downloaded. However if your hard drive crashes and you have given away your extra installation unlocks, you will not be able to obtain additional unlocks unless you purchase another access code.
Sales Conduct and Referral Program Rules:
We will provide a free authorization access code to download all the software for directly referring 3 paid referrals who each pay the $99 fee. The free authorization access code will be provided once the funds have cleared from the 3rd referral. This is not a Mult-Level-Marketing program also know as, Network Marketing program, and none of the 3 referral credits can be the result of a referral's referral etc. ie no multi generation credits. Members must not make any false or misleading statements to acquire their direct referrals and if found misrepresenting the service will be band from the service and not available for program upgrades, and possible legal action. You are under no obligation to make any referrals. No SPAMMING is allowed to obtain referrals or sales. There will be no listing of the service on any auction
sites or with affiliate programs by members, or distributors.
Those Members who have received a free software package from an authorized distributor as an incentive to purchase the distributors product/service agree that TMSC/PSP will not be held lible for any damages suffered due to the product/service purchased from the distributor.
For Distributors:
There are no projections as to how much a distributor can make selling the software. As with any business Distributors could lose money by buying multiple software packages upfront to obtain a volume discount and not be able to sell the packages. Your results will be based on your individual monetary investments, business experience, expertise, and your level of desire. There are no guarantees concerning the level of success you may experience. Distributors understand that when they make a sale the Distributor is selling the software and collecting the cash not TMSC/PSP.
You understand that TMSC/PSP reserves the right to change these terms and conditions at any time without notice and that all use of TMSC/PSP services shall be governed by such changed terms and conditions immediately upon posting thereof. You agree that if you are found to be violating in TMSC/PSP in any way, that you will pay for all legal fees for us to recover damages and that the venue for legal disputes is the venue chosen by TMSC/PSP.
Members , Distributors, and all those associated with TMSC/PSP Agree: SIGNATURE ON A HARD COPY OF THIS AGREEMENT IS NOT REQUIRED IN ORDER FOR THE AGREEMENT TO BE LEGALLY BINDING ON YOU. YOUR USE OF THE SERVICE, HAVING THE SAME FORCE AND EFFECT AS IF YOU HAD ACTUALLY SIGNED A HARD COPY
OF THIS AGREEMENT.
